Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Drafft AI platform, website, and related services (collectively, the "Service") operated by Drafft AI, Inc. ("Drafft AI," "we," "our," or "us"), a Delaware corporation. By accessing or using our Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, accessing our platform, or using any part of our Service, you confirm that you are at least 18 years old, have the legal authority to enter into this agreement on behalf of yourself or your organization, and agree to these Terms and our Privacy Policy.

2. Description of Service

Drafft AI provides an AI-powered fleet intelligence platform that connects to your telematics providers and fuel cards to deliver fuel stop recommendations, idle time monitoring, route optimization insights, and ELD safety data aggregation. The Service is designed for commercial motor carriers operating fleets of approximately 26 to 100 trucks.

3. Account Registration

You must create an account to access most features. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

4. Subscriptions and Payment Terms

Access to the Drafft AI platform is provided on a subscription basis. Subscription fees are charged monthly per truck in your connected fleet. Payment terms, pricing, and billing cycles are specified at the time of your subscription enrollment and may be updated with 30 days' advance notice.

All fees are non-refundable except where required by applicable law. We reserve the right to suspend or terminate access to the Service for non-payment.

5. Authorized Use

You may use the Service only for lawful commercial fleet management purposes. You agree not to: reverse engineer or attempt to extract source code from the platform; use the Service to compete with Drafft AI; resell or sublicense access to the Service; or use the Service in any manner that violates applicable law or regulations including FMCSA rules and ELD mandates.

6. Third-Party Integrations

The Service integrates with third-party platforms including Samsara, Motive, Geotab, WEX, Comdata, and RTS. Your use of these integrations is subject to the terms and conditions of those respective providers. Drafft AI is not responsible for the availability, accuracy, or performance of third-party services.

7. Intellectual Property

The Service, including all software, algorithms, designs, and content, is owned by Drafft AI or its licensors and is protected by applicable intellectual property laws. You retain ownership of your fleet data. By using the Service, you grant Drafft AI a limited license to process your fleet data solely to provide and improve the Service.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. DRAFFT AI DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT SAVINGS PROJECTIONS WILL BE ACHIEVED. FUEL STOP RECOMMENDATIONS ARE ADVISORY ONLY AND ACTUAL SAVINGS MAY VARY.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DRAFFT AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. DRAFFT AI'S TOTAL CUMULATIVE LIABILITY SHALL NOT EXCEED THE FEES YOU PAID IN THE 12 MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless Drafft AI, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of your use of the Service or violation of these Terms.

11. Termination

Either party may terminate these Terms at any time. You may cancel your subscription through your account settings. We may terminate or suspend your access for violation of these Terms, non-payment, or at our discretion with notice. Upon termination, your right to use the Service ceases immediately.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved through binding arbitration in accordance with the American Arbitration Association's Commercial Arbitration Rules. The arbitration shall be conducted in Delaware.

13. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes via email or in-platform notification at least 14 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
